The "Maemo Community e.V." (eingetragener Verein/registered association) was founded on March 18 2014 and got registered at the municipal court in Kaiserslautern, Germany as noted in the bulletin from August 4 2014 under file number VR 30564. The registering court doesn't provide a static link for the bulletin, you need to search for "maemo" here: https://www.handelsregister.de/rp_web/welcome.do

The Maemo Community e.V. is the successor of the US-based Hildon Foundation and is supposed to inherit Hildon Foundation's assets. Its purpose is to represent the Maemo (and derivates thereof) users and its community in legal and other official matters and to preserve the maemo.org infrastructure.

Satzung Maemo Community e.V.

§ 1 Name, Sitz, Eintragung, Geschäftsjahr
(1) Der Verein trägt den Namen Maemo Community e.V.
(2) Er hat den Sitz in Kaiserslautern und soll in das Vereinsregister beim Amtsgericht Kaiserslautern eingetragen werden.
(3) Geschäftsjahr ist das Kalenderjahr.

§ 2 Vereinszweck
(1) Zweck des Vereins ist die Förderung und Verbreitung freier Software für mobile Kommunikationsgeräte (Mobiltelefone, Smartphones), tragbare Computer und Tablet-PCs, insbesondere solche, deren Betriebssysteme auf den Linux-Varianten Maemo und Meego bzw. deren Derivaten basieren, um den freien Wissensaustausch und die Chancengleichheit beim Zugang zu Software sowie Volksbildung zu unterstützen.
(2) Der Satzungszweck wird insbesondere verwirklicht durch
a) die Bereitstellung und Weiterentwicklung der Infrastruktur von maemo.org und den zugehörigen Subdomänen
b) die Bereitstellung, Aktualisierung und Fehlerbehebung von freier Software für die Maemo und Meego Betriebssysteme und deren Derivate.
c) die Bereitstellung unterstützender Daten und Dokumentation sowie Förderung deren Verfügbarkeit und die Erstellung und Verbreitung von Informationsmaterial über diese Software
d) die Förderung des Meinungsaustauschs und der Zusammenarbeit von Anwendern und Entwicklern von freier, quelloffener (FOSS) Hard- und Software für mobile Geräte.

§ 3 Selbstlosigkeit
(1) Der Verein verfolgt ausschließlich und unmittelbar gemeinnützige Zwecke im
Sinne der Abgabenordnung. Der Verein ist selbstlos tätig. Er verfolgt nicht
in erster Linie eigenwirtschaftliche Zwecke.
(2) Mittel des Vereins dürfen nur für die satzungsmäßigen Zwecke verwendet werden.
(3) Die Mitglieder erhalten keine Zuwendungen aus Mitteln des Vereins.
(4) Es darf keine Person durch Ausgaben, die dem Zweck der Körperschaft fremd sind, oder durch unverhältnismäßig hohe Vergütungen begünstigt werden.

§ 4 Mitgliedschaft
(1) Der Verein unterscheidet drei Arten von Mitgliedschaft:
a) aktive Mitglieder:
natürliche und juristische Personen, die den Vereinszweck und die Verwirklichung der Vereinsziele durch Mitarbeit unterstützen und dabei die vollen Pflichten eines Vereinsmitglieds übernehmen. Insbesondere wird von ihnen Mitarbeit und die Teilnahme an den Mitgliederversammlungen erwartet.
b) passive Mitglieder:
natürliche und juristische Personen, die durch ihre Mitgliedschaft im Verein die Unterstützung des Vereinszwecks und der Vereinsziele erklären.
c) Ehrenmitglieder:
Personen, die hierzu wegen besonderer Verdienste um den Verein auf entsprechenden Antrag durch die aktive Mitgliederversammlung ernannt werden.
(2) Mitglied des Vereins kann jede natürliche oder juristische Person werden, die seine Ziele unterstützt, natürliche Personen müssen das 14. Lebensjahr vollendet haben.
(3) Die Aufnahme als aktives Mitglied erfolgt durch den Vorstand nach schriftlichem bzw. elektronischem Antrag oder per email und setzt eine passive Mitgliedschaft von mindestens drei Monaten voraus. Aktive Mitglieder behalten alle Rechte und Pflichten einer passiven Mitgliedschaft.
(4) Die Aufnahme als passives Mitglied in den Verein erfolgt durch Registrierung eines Benutzerkontos auf maemo.org.
(5) Einzelheiten zur Mitgliedschaft, insbesondere zur Ausübung des Stimmrechts der unterschiedlichen Mitglieder, regelt die Vereinsordnung, die von der aktiven Mitgliederversammlung festgesetzt wird.
(6) Die Mitgliedschaft endet durch Austritt, Ausschluss oder Tod, bei juristischen Personen auch durch Verlust der Rechtspersönlichkeit.
(7) Für die Beendigung der Mitgliedschaft durch Austritt gilt:
a) Der Austritt passiver Mitglieder bedarf keines besonderen Hinweises.
b) Der Austritt oder Rücktritt aktiver Mitglieder muss schriftlich bzw. elektronisch gegenüber dem Vorstand unter Einhaltung einer Frist von vier Wochen erklärt werden. Im Falle des Rücktritts eines aktiven Mitglieds ändert sich sein Status automatisch in den eines passiven Mitglieds, sofern dem nicht ausdrücklich widersprochen wird.
(8) Wenn ein Mitglied gegen die Ziele und Interessen des Vereins schwer verstossen hat oder trotz schriftlicher bzw. elektronischer Mahnung wiederholt Verstösse begangen hat, kann es durch den Vorstand mit sofortiger Wirkung ausgeschlossen werden. Der Ausschließungsbeschluss ist dem Auszuschließenden schriftlich, elektronisch oder per email mit Begründung bekannt zu geben.
a) Dem Mitglied muss nach der Beschlussfassung Gelegenheit zur Rechtfertigung bzw. Stellungnahme gegeben werden.
b) Gegen den Ausschließungsbeschluss kann innerhalb einer Frist von zwei Wochen nach Mitteilung des Ausschlusses Berufung eingelegt werden, über den die nächste aktive Mitgliederversammlung entscheidet.
(9) Im Falle der Beendigung der Mitgliedschaft erlöschen alle Rechte und Pflichten. Es besteht kein Anspruch auf Rückerstattung bereits geleisteter Mitgliedsbeiträge, Spenden oder etwa eingebrachter Vermögenswerte.

§ 5 Beiträge
(1) Die passive Mitgliedschaft ist grundsätzlich beitragsfrei.
(2) Höhe und Fälligkeit der Beiträge für aktive Mitglieder richtet sich nach der Vereinsordnung, welche durch die aktive Mitgliederversammlung zu beschließen ist.

§ 6 Organe des Vereins
Organe des Vereins sind
a) Vorstand
b) Vorstandsrat
c) aktive Mitgliederversammlung
d) passive Mitgliederversammlung

§ 7 Vorstand
(1) Der Vorstand besteht aus mindestens drei natürlichen Personen mit einem Mindestalter von 21 Jahren und wird von der aktiven Mitgliederversammlung gewählt. Er vertritt den Verein gerichtlich und außergerichtlich.
(2) Nur aktive Mitglieder können in den Vorstand gewählt oder bestimmt werden.
(3) Der Vorstand wählt aus seiner Mitte einen Vorsitzenden und zwei Stellvertreter. Hiervon sind jeweils zwei gemeinsam zur Vertretung des Vereins berechtigt.
(4) Die Vorstandsarbeit, insbesondere Regelungen zur Einberufung von Vorstandssitzungen, deren Ablauf und die Durchführung von Abstimmungen, wird durch eine Vorstands-Geschäftsordnung geregelt, welche der Vorstand mit einfacher Mehrheit beschließt.
(5) Der Vorstand führt die Beschlüsse des Vorstandsrats und der aktiven Mitgliederversammlung aus.
(6) Beim Ausscheiden von einzelnen Vorstandsmitgliedern können die Aufgaben des ausgeschiedenen Vorstandsmitglieds von den verbliebenen Vorstandsmitgliedern übernommen werden, sofern diese zustimmen. Alternativ kann sich der Vorstand bis zur nächsten regulären Wahl durch Vorstandsbeschluss aus der Reihe der aktiven Mitglieder ergänzen.
(7) Vorstandsmitglieder können auf Antrag durch die aktive Mitgliederversammlung aus wichtigem Grund abberufen werden. Ein wichtiger Grund liegt insbesondere dann vor, wenn das Vorstandsmitglied ein strafrechtlich relevantes Verhalten zur Last gelegt wird, welches eine weitere Tätigkeit für den Verein unzumutbar macht.

§ 8 Vorstandsrat (council)
(1) Der Vorstandsrat besteht aus mindestens drei natürlichen Personen mit einem Mindestalter von 21 Jahren und wird von der passiven Mitgliederversammlung gewählt.
(2) Der Vorstandsrat wählt aus seiner Mitte einen Vorsitzenden.
(3) Beim Ausscheiden von einzelnen Vorstandsratsmitgliedern können die Aufgaben des ausgeschiedenen Vorstandsratsmitglieds von den verbliebenen Vorstandsratsmitgliedern übernommen werden, sofern diese zustimmen. Alternativ kann sich der Vorstandsrat bis zur nächsten regulären Wahl durch Vorstandsratsbeschluss aus der Reihe der aktiven Mitglieder ergänzen. 
(4) Der Vorstandsrat ist insbesondere für die Durchführung aller Wahlen zuständig. Die Vorstandsratsarbeit, Regelungen zur Einberufung von Vorstandsratssitzungen, deren Ablauf und die Durchführung von Abstimmungen, wird durch die Vereinsordnung geregelt.

§ 9 aktive Mitgliederversammlung
(1) Die aktive Mitgliederversammlung setzt grundsätzlich keine physische Zusammenkunft der Mitglieder voraus, sondern kann fernmündlich bzw. digital, d.h. durch den Einsatz elektronischer Kommunikationsmittel in Echtzeit (z.B. Internet Relay Chat, Web Meetings, Video- oder Audio-Chat und ähnlichen Medien) abgehalten werden.
(2) Die aktive Mitgliederversammlung ist einmal jährlich vom Vorstandsrat unter Einhaltung einer Einladungsfrist von vier Wochen durch schriftliche bzw. elektronische Bekanntgabe auf maemo.org und per email unter Angabe der Tagesordnung einzuberufen und wird durch diesen oder einen Vertreter geleitet. Anträge zur Hauptversammlung sind spätestens eine Woche vorher beim Vorstandsrat einzureichen.
(3) Eine aktive Mitgliederversammlung ist auch dann einzuberufen, wenn es das Vereinsinteresse erfordert oder wenn die Einberufung von mindestens einem Drittel der aktiven Vereinsmitglieder schriftlich, elektronisch oder per email und unter Angabe des Zwecks und der Gründe verlangt wird.
(4) Die aktive Mitgliederversammlung als das oberste beschlussfassende Vereinsorgan ist grundsätzlich für alle Aufgaben zuständig, sofern bestimmte Aufgaben gemäß dieser Satzung nicht einem anderen Vereinsorgan übertragen wurden.
(5) Jede satzungsmäßig einberufene aktive Mitgliederversammlung wird als beschlussfähig anerkannt, wenn mindestens ein Drittel der aktiven Vereinsmitglieder anwesend sind. Jedes Mitglied hat eine Stimme, sofern dies nicht in § 4 (Wahlordnung) der Vereinsordnung anders geregelt ist.
(6) Die aktive Mitgliederversammlung fasst ihre Beschlüsse mit einfacher Mehrheit der gültigen, abgegebenen Stimmen, sofern dies nicht in § 4 (Wahlordnung) der Vereinsordnung anders geregelt ist. Bei Stimmengleichheit gilt ein Antrag als abgelehnt. Enthaltungen zählen nicht mit.
(7) Einzelheiten zu Aufgaben, Rechte und Pflichten regelt die Vereinsordnung, die von der  aktiven Mitgliederversammlung festgesetzt wird.
(8)  Ein aktives Mitglied kann sich aufgrund einer schriftlichen Vollmacht in der Mitgliederversammlung durch ein anderes aktives Mitglied vertreten lassen, jedoch darf kein Mitglied mehr als 3 Mitglieder vertreten.

§ 10 passive Mitgliederversammlung
(1) Die passive Mitgliederversammlung setzt grundsätzlich keine physische Zusammenkunft der Mitglieder voraus, sondern kann fernmündlich bzw. digital, d.h. durch den Einsatz elektronischer Kommunikationsmittel in Echtzeit (z.B. Internet Relay Chat, Web Meetings, Video- oder Audio-Chat und ähnlichen Medien) abgehalten werden.

(4) Aufgabe der passiven Mitgliederversammlung ist die Wahl des Vorstandsrats. Darüber hinaus hat sie das Recht auf Änderung von § 4.1 (Vorstandsratswahlen) der Vereinsordnung (Referendum), sofern sie vom Vorstandsrat dazu beauftragt wird. Weitere Rechte und Pflichten werden durch die Vereinsordnung geregelt.
(5) Jede satzungsmäßig einberufene passive Mitgliederversammlung wird als beschlussfähig anerkannt, wenn mindestens zehn passive Vereinsmitglieder anwesend sind. Jedes Mitglied hat eine Stimme, sofern dies nicht in § 4 (Wahlordnung) der Vereinsordnung anders geregelt ist.
(6) Die passive Mitgliederversammlung fasst ihre Beschlüsse mit einfacher Mehrheit der gültigen, abgegebenen Stimmen, sofern dies nicht in § 4 (Wahlordnung) der Vereinsordnung anders geregelt ist. Bei Stimmengleichheit gilt ein Antrag als abgelehnt. Enthaltungen zählen nicht mit.

§ 11 Satzungsänderung
(1) Satzungsänderungen können durch den Vorstand oder die aktive Mitgliederversammlung vorgenommen werden.
a) Für Satzungsänderungen durch den Vorstand ist ein einstimmiger Beschluss erforderlich.
b) Für Satzungsänderungen durch die aktive Mitgliederversammlung ist eine zweidrittel Mehrheit erforderlich. 
(2) Über Satzungsänderungen kann nur abgestimmt werden, wenn im entsprechenden Vereinsorgan auf diesen Tagesordnungspunkt vorher hingewiesen wurde.
(3) Satzungsänderungen, die von Aufsichts-, Gerichts- oder Finanzbehörden aus formalen Gründen verlangt werden, kann der Vorstand von sich aus vornehmen. Diese Satzungsänderungen müssen allen aktiven Vereinsmitgliedern innerhalb von einer Woche schriftlich, elektronisch oder per email mitgeteilt werden.

§ 12 Vereins- und Geschäftsordnungen
(1) Die aktive Mitgliederversammlung wird ermächtigt eine Vereinsordnung und eine Schiedsgerichts-Ordnung zu beschließen.
(2) Vorstand und Vorstandsrat werden ermächtigt eigene Geschäftsordnungen zu beschließen.
(3) Geschäftsordnungen, die durch den Vorstand beschlossen werden können, sind in der Vorstands-Geschäftsordnung geregelt.
(4) Geschäftsordnungen, die durch den Vorstandsrat beschlossen werden können, sind in der Vereinsordnung geregelt.
(5) Alle Vereins- und Geschäftsordnungen sind nicht Bestandteil dieser Vereinssatzung und werden nicht in das Vereinsregister eingetragen.

§ 13 Beurkundung von Beschlüssen
Alle in Mitgliederversammlungen und Sitzungen gefassten Beschlüsse sind durch den jeweiligen Versammlungsleiter oder Schriftführer schriftlich bzw. elektronisch niederzulegen und zu unterzeichnen bzw. digital zu signieren. Die Protokolle müssen den Mitgliedern spätestens eine Woche nach deren Beschluss auf maemo.org bekannt gemacht werden. Die gefassten Beschlüsse sind wörtlich in die Niederschrift aufzunehmen. Dies gilt auch für Änderungen und Aufhebungen.

§ 14 Auflösung des Vereins und Vermögensbindung
(1) Für den Beschluss, den Verein aufzulösen, ist eine 3/4-Mehrheit der in der aktiven Mitgliederversammlung anwesenden Mitglieder erforderlich. Der Beschluss kann nur nach rechtzeitiger Ankündigung in der Einladung zur aktiven Mitgliederversammlung gefasst werden.
(2) Bei Auflösung oder Aufhebung des Vereins oder bei Wegfall steuerbegünstigter Zwecke fällt das Vermögen des Vereins an die Linux Foundation, die es unmittelbar und ausschließlich für gemeinnützige oder mildtätige Zwecke zu verwenden hat.

Maemo Community e.V. Articles of Association

§ 1 Name, place of business, registration, business year
(1) The name of the nonprofit association is Maemo Community e.V.
(2) The official headquarters of the association is in Kaiserslautern, Germany.
(3) The association is entered in the official register of societies and associations at the District Court of Kaiserslautern, Germany.
(4) The financial year of the association corresponds to the calendar year.

§ 2 Purpose of the association
(1) The purpose of the association is the promotion and distribution of free software for mobile communication devices (cell phones, smart phones), portable computers and tablet PCs, especially those whose operating systems are based on the Linux variants Maemo and Meego or derivatives thereof, to support the free exchange of knowledge and to support equal access to software and public education.
(2) The purpose of the statutes will be realized especially by
a) allocation and advancement of the infrastructure on maemo.org and its sub-domains.
b) allocation, updates and bugfixes of free software for the Maemo and Meego operating systems and their derivatives
c) allocation of supportive data and documentation as well as aiding their availability, creation and propagation of information about this software
d) promoting exchanges of views and cooperation of users and developers of free, open source (FOSS) hard- and software for mobile devices.

§ 3 Altruism
(1) The association pursues exclusively and directly charitable purposes within the meaning of the Tax Code. The Association is acting selflessly. It does not pursue its own economic interests. 
(2) The association may only be used for statutory purposes. 
(3) The members receive no benefits from the association. 
(4) No person shall be favored by expenditures that are foreign to the purpose of the corporation, or from disproportionately high remuneration.

§ 4 Membership
(1) The association distinguishes three types of membership:
a) active members :
natural  and legal persons who are supporting the purpose and the achievement of  the association's goals through cooperation and thereby assume the full duties of an association member. In particular, cooperation and participation in the meetings of the members is expected of them.
b) passive members :
natural and legal persons who declare support for the association's purpose and goals through their membership in the association.
c) Honorary members :
Persons who are appointed because of special merits to the Association, upon request by the General Assembly.
(2) Both natural persons and legal bodies wanting to promote the aims of the association may become members, natural persons have to be at least 14 years of age.
(3) The inclusion as an active member is executed by the Board upon written or electronic request and requires three months of passive membership. Active members retain all rights and obligations of a passive membership.
(4) The inclusion as a passive member takes place by registering an account at maemo.org.
(5) Details of the membership, in particular to exercise voting rights, is governed by the Association Rules which shall be decided on by the General Assembly.
(6) Membership is terminated by resignation, expulsion or death, in case of legal persons additionally by loss of legal personality.
(7) For termination of membership by withdrawal:
a) The withdrawal of passive members requires no special mentioning.
b) Resignation or withdrawal of active members must be announced in written or electronic form to the Board with a notice period of 4 weeks. In case of withdrawal of active members, their status is automatically changed to that of a passive member, provided it was not explicitly rejected.
(8) If a member offended the objectives and interests of the association and despite a written or electronic reminder repeated infringements were committed, the member can be excluded by the Board with immediate effect. The decision of expulsion is to be made aware to the excluded, in writing , electronically or by email including the reasons for expulsion.
a) The member must be given the opportunity to justify themselves after the decision.
b) Within two weeks of notification of the exclusion, the excluded may appeal, and the next active General Assembly decides upon this.
(9) In the event of termination of membership all rights and obligations are lost. There is no entitlement to a refund of already paid membership fees, donations or introduced assets.
    
§ 5 Fees
(1) Passive membership generally is free of any charges.
(2) Amount and due-date of active-membership fees are regulated by the Association Rules which shall be decided by the General Assembly.

§ 6 Institutions of the association
(1) Entities of the association are
a) Board of Directors
b) Council
c) General Assembly (active member's meeting)
d) Passive Members' Meeting

§ 7 Board of directors
(1) The Board of Directors consists of three or more natural persons at least 21 years of age. It shall represent the association legally and extrajudicial.
(2) Only active members may become Director.
(3) The Board of Directors shall designate a chair and two Deputy Directors. Any two of these three Board members together are authorized to fully represent the association.
(4) The Board's duties, especially rules to announce board meetings, their proceedings and executions of votes are regulated by the Board's internal regulations which shall be decided on by a simple majority vote of the Board of Directors.
(5) The Board of Directors executes the Council's and General Assembly's rulings.
(6) On termination of individual Board members, the duties of the retiring Board member can be taken over by the remaining Board members, provided that these agree. Alternatively, the Board may supplement until the next regular election by board resolution from the number of active members. 
(7) Board members can be removed on request by the General Assembly with good cause. An important reason is especially given if the member is accused of criminal behavior, which makes further activity for the association unreasonable.

§ 8 Council
(1) The Council consists of at least 3 natural persons at least 21 years of age and is elected by the passive members' meeting.
(2) The Council internally votes upon a chairman and two deputy chairmen from who one is assigned secretary.
(3) On termination of individual council members, the duties of the retiring council member can be taken over by the remaining council members, provided that they agree. Alternatively, the council may supplement until the next regular election by council resolution from the number of active members. 
(4) The council has the duty to execute elections of all kinds. The council's duties, rules to announce council meetings, their proceedings and executions of votes are regulated by the Association Rules.

§ 9 General Assembly
(1) The General Assembly does generally not require physical meeting of members. It can be held telephonically or digitally supported, that means with the use of electronic realtime communication services  (e.g. Internet Relay Chat, Web Meetings, Video and Audio Chat or alike).
(2) The General Assembly is called once per year by the Council, giving due notice at least four weeks in advance, by mail or electronic announcement on maemo.org and by email, stating the meeting's agenda. The General Assembly is presided by the Council or a deputy. Requests and motions regarding the General Assembly have to be filed at the Council at least one week prior to the meeting.
(3) A General Assembly has to be called as well if it is mandated by the association's interests , or if at least one third of the active members of the association request so in writing or electronically or by mail giving its purpose and reasons.
(4) The General Assembly as the superior decision-making body of the association is by default responsible for all tasks unless certain tasks are delegated to other bodies of the association in accordance with these articles of incorporation.
(5)  Every General Assembly called in accordance with these articles of incorporation is accepted as able to make decisions if at least one third of the active members are present. Each member has exactly one vote unless stated differently in § 4 of the Association Rules. 
(6)  The General Assembly is making decisions based on the bare majority of all valid votes cast unless stated differently in § 4 of the Association Rules. In the event of a tie the motion is rejected. Abstentions are not counted.
(7) Details regarding tasks, rights, and duties are governed by the Association Rules which is defined by the General Assembly.
(8)   An active member can be represented by another active member in the General Assembly by written authority, however no member may represent more than 3 members.

§ 10 Passive Members' Meeting
(1) The Passive Members' Meeting does generally not require a physical meeting of members, it can be held telephonically or digitally  supported, that means with the use of electronic realtime communication  services  (e.g. Internet Relay Chat, Web Meetings, Video- and Audio-Chat or alike).
(2) The Passive Members' Meeting is called twice per year by the council, giving due notice at least four weeks in advance, by writing or electronic announcement on maemo.org and by email, stating the meeting's agenda. The passive members' meeting is presided by the Council or a deputy. Requests and motions regarding the meeting have to be filed at the Council at least four weeks prior to the meeting.
(3) A Passive Members' Meeting has to be called as well if it is mandated by the association's interests or if requested by single majority vote of the Council and written purpose and reason are given.
(4) Passive Members' Meeting duty is the election of the Council. Furthermore, the passive members' meeting has the right to change § 4.1 (Council Elections) of the Association Rules (Referendum), as long as the Council ordered the meeting to. Further rights and obligations are governed by the Association Rules. 
(5) Every Passive Members' Meeting called in accordance with these articles of  incorporation is accepted as able to make decisions if at least 10 passive association members are present. Each member has a exactly one vote unless state differently in § 4 of the Association Rules. 
(6) The Passive Members' Meeting is making decisions based on the bare majority of all valid votes cast  unless stated differently in § 4 of the Association Rules. In the event  of a tie the motion is rejected. Abstentions are not counted.

§ 11 Changes to the Articles of Association
(1) Changes to the Articles of Association can be performed by the Board of Directors or the General Assembly.
a) Changes to the Articles of Association by the Board of Directors requires an unanimous vote.
b) Changes to the Articles of Association by the General Assembly require at least two thirds of all valid votes cast to support the motion.
(2) Changes to the Articles of Association can only be subject to a vote if the voting body was informed about this agenda item prior to the vote.
(3)  Changes to the Articles of Association that are mandated by supervisory, court or financial authorities for formal reasons, can be done by the Board of Directors on their own account. Such changes to the Articles of Association have to be communicated to all members of the association in writing or by electronic means within one week.

§ 12 Rules and Regulations (Bylaws)
(1) The General Assembly is authorised to enact the Association Rules and the Arbitration Agreement. 
(2) The Board of Directors and the Council are authorised to enact internal regulations for themselves.
(3) Bylaws, which the Board of Directors is authorised to enact are governed by the Board internal regulations.
(4) Bylaws, which the Council is authorised to enact are governed by the Association Rules.
(5) All rules and regulations are not part of these Articles of Association and are not subject of registration to the register of societies and associations.

§ 13 Documentation of resolutions
All resolutions in General Assemblies and meetings have to be documented in writing or electronically, and signed or digitally signed, by the respective chair or secretary. The documentation has to be announced on maemo.org latest one week after the resolution. Enacted resolutions have to be verbatim in the documentation. The same applies to changes or annulments.

§ 14 Dismissal of the association and binding of assets
(1) For the resolution to dismiss the association a three-quarters majority of the General Assembly is required. Such a resolution can only be enacted if announced in a timely manner in the invitation to the General Assembly.
(2) If the association is dismissed or annulled, or if the reasons justifying a tax-exemption cease to apply, the assets of the association fall to the Linux Foundation, which has to deploy these assets exclusively and directly to non-profit or charitable purposes.

§ 1 Allgemeines
(1) Diese Vereinsordnung ist nicht Bestandteil der Satzung sondern ergänzt diese. Hier dokumentierte Regelungen müssen mit der Vereinssatzung in Einklang sein und dürfen ihr nicht widersprechen. Im Zweifel gilt die Satzung.
(2) Die Vereinsordnung regelt die Rechte und Pflichten der einzelnen Mitglieder und der aus der Mitgliedschaft gewählten Vereinsorgane (z. B. Vorstandsrat, Mitgliederversammlungen).
§ 1.1 Änderungen
(1) Die Vereinsordnung kann von der aktiven Mitgliederversammlung geändert und aufgehoben werden. 
(2) § 4.1 (Vorstandsratswahlen) dieser Vereinsordnung kann durch ein Referendum der passiven Mitgliederversammlung gändert oder aufgehoben werden.
(3) Änderungen gelten ab Beschlussfassung und sind den Mitgliedern durch Veröffentlichung auf der Vereinshomepage bekannt zu geben. 

§ 2 Mitgliedsbeiträge
(1) Die Zahlung von Beiträgen für aktive Mitglieder und Ehrenmitglieder ist zur Zeit ausgesetzt, sie kann jedoch auf freiwilliger Basis erfolgen.
(2) Beschlüsse über die Änderung der Mitgliedsbeiträge gelten ab dem nächsten Geschäftsquartal.
(3) Beim Ausscheiden aus dem Verein erfolgt eine Rückerstattung bereits geleisteter Beiträge nur auf Antrag, welcher durch den Vorstandsrat beschlossen wird.
(4) Soweit die Zahlung nicht per Lastschrifteinzug auf das Vereinskonto erfolgt, ist sie durch Überweisung auf eines der folgenden Konten zulässig:
a) Vereinskonto
b) Paypal
c) Bitcoin

§ 3 Vereinsorganisation
§ 3.1 Vorstand
Der Vorstand nimmt seine Rechte und Pflichten im Rahmen der Vorstands-Geschäftsordnung wahr.

§ 3.2 Vorstandsrat (council)
(1)  Der Vorstandsrat wird von der passiven Mitgliederversammlung für die Dauer von sechs Monaten gewählt. Die Wiederwahl der Vorstandsratsmitglieder ist möglich. Die jeweils amtierenden Vorstandsmitglieder bleiben nach Ablauf ihrer Amtszeit im Amt, bis Nachfolger gewählt sind.
(2) Vorstandsratssitzungen finden mindestens einmal pro Monat öffentlich statt. Die Einladung dazu erfolgt durch Bekanntgabe auf maemo.org und gegebenenfalls per email. Der Vorstandsrat ist beschlussfähig, wenn mindestens zwei Drittel der Mitglieder anwesend oder vertreten sind. Die Beschlussfähigkeit gilt außerdem als gegeben, solange nicht auf Antrag die Beschlussunfähigkeit festgestellt worden ist.
(3) Bei Bedarf oder wenn mindestens zwei Vorstandsratsmitglieder dies gemeinsam gegenüber dem Vorsitzenden verlangen, kann der Vorsitzende eine außerordentliche Vorstandsratssitzung unter Bekanntgabe der Tagesordnung auf maemo.org und per email an alle Vorstandsratsmitglieder einberufen.
(4) Die Ladungsfrist soll mindestens eine Wochen betragen, in dringenden Fällen kann auf die Ladungsfrist verzichtet werden.
(5) Der Vorstandsrat fasst seine Beschlüsse mit einfacher Mehrheit der gültigen, abgegebenen Stimmen, sofern dies nicht in § 4.1 (Vorstandsratswahlen) dieser Vereinsordnung anders geregelt ist. Bei Stimmengleichheit gilt ein Antrag als abgelehnt. Enthaltungen zählen nicht mit.
(6) Beschlüsse des Vorstandsrats können ausdrücklich schriftlich, elektronisch oder fernmündlich gefasst werden, müssen aufgezeichnet oder protokolliert und innerhalb von einer Woche auf maemo.org veröffentlicht werden.
(7) Die erstmalige Wahl des Vorstandsrats erfolgt durch die Gründungsversammlung. Der vorläufige Vorstandsrat muss innerhalb von sechs Monaten eine reguläre Wahl gemäss Satzung und Vereinsordnung veranlassen.

§ 3.3 aktive Mitgliederversammlung
(1) Die aktive Mitgliederversammlung findet jeweils im ersten Quartal des neuen Kalenderjahres statt.
(2) Der aktiven Mitgliederversammlung sind insbesondere die Jahresrechnung und der Jahresbericht zur Beschlussfassung über die Genehmigung und die Entlastung des Vorstands schriftlich bzw. elektronisch vorzulegen. Sie kann einen Rechnungsprüfer bestellen, der weder dem Vorstand noch einem vom Vorstand berufenen Gremium angehören und auch nicht Angestellter des Vereins sein darf, um die Buchführung einschließlich Jahresabschluss zu prüfen und über das Ergebnis vor der aktiven Mitgliederversammlung zu berichten.

§ 3.4 passive Mitgliederversammlung
Ein passives Mitglied kann sich nicht durch ein anderes Mitglied vertreten lassen.

§ 4 Wahlordnung
Wahlen des Vorstands, der aktiven Mitgliederversammlung und jede zweite passive Mitgliederversammlung sollen nach Möglichkeit zeitgleich stattfinden.
§ 4.1 Vorstandsratswahlen
(1) Nominierungen werden bis zu 2 Wochen vor Wahlbeginn für jedes passive Mitglied mit einem Karma von 100 oder mehr angenommen.
(2) Die Wahlen dauern eine Woche.
(3) Wahlberechtigt sind alle passiven Mitglieder, die seit mindestens 3 Monaten über ein Benutzerkonto auf maemo.org verfügen, welches ein Karma von 10 oder mehr aufweist.
(4) Jedes wahlberechtigte passive Mitglied erhält einen Stimmzettel.
(5) Die 5 Kandidaten, die nach dem System der übertragbaren Einzelstimmgebung (single transferable vote) die meisten Stimmen auf sich vereinigen können, sind gewählt.
(6) Kandidaten mit einem professionellen bzw. witschaftlichen Interesse in Maemo, z.B. Mitarbeiter von Firmen, die in Bezug zu Maemo Hard- oder Software stehen, müssen ihr Interesse bei der Nominierung erklären. Bleibt dies aus, kann der Vorstandsrat die Kandidatur des Mitglieds für ungültig erklären und somit ausschliessen.
(7) Mitglieder können beliebig oft wiedergewählt werden.
(8) Das Datum der nächsten Wahl wird durch den Vorstandsrats-Vorsitzenden festgelegt und soll spätestens 6 Monate nach der letzten Wahl liegen.
(9) Das Datum der nächsten Wahl soll mindestens 4 Wochen vorher auf maemo.org bekannt gegeben werden.
(10) Sollten weniger als 6 Kandidaten zur Wahl stehen, werden die 3 Kandidaten gewählt, die die meisten Stimmen auf sich vereinen können.
(11) Sollten nach Ende der Nominierungsphase weniger als 4 Kandidaten zur Wahl stehen, kann die Wahl nicht abgehalten werden.
a) Die Nominierungsphase wird dann um 4 Wochen verlängert und die Wahl entsprechend verschoben.
b) Sollten nach der verlängerten Nominierungsphase weniger als 4 Kandidaten zur Wahl stehen, bestimmt der scheidende Vorstandsrat zusammen mit dem Vorstand das weitere Vorgehen. Eine Lösung, die zu weiteren Kandidaten und einer ordentlichen Wahl führt, soll dabei bevorzugt werden, andere Möglichkeiten werden nicht ausgeschlossen.

(12) Die Teilnahme an Referenda unterliegt den gleichen Bestimmungen, die für Vorstandsratswahlen gelten.
a) Bevor ein Referendum zur Abstimmung gelangen kann, muss ein entsprechender Entwurf für mindestens 4 Wochen zur Diskussion stehen.
b) Der Zeitraum, in welchem über das Referendum abgestimmt werden kann, soll genauso lang sein, wie bei regulären Vorstandsratswahlen.

Association Rules

§ 1 General
(1) These association rules are not part of the bylaws, it complements them. Regulations in this document have to comply to the bylaws and cannot contradict them. The bylaws always have priority.
(2) These association rules regulate the rights and obligations of the different members and bodys of the association (e.g. council, assemblies).
§ 1.1 Amendments
(1) These association rules can be changed or dismissed by the General Assembly.
(2) § 4.1 of these association rules can be changed or dismissed with a referendum by the Passive Members' Meeting.
(3) Changes take effect by adoption of a resolution or a referendum and have to be published for all members on the association homepage.

§ 2 Member Fees
(1) Any payment of fees for active or honoured members is suspended for the time being, but may happen on a voluntary basis.
(2) Enactments to change member fees take effect from the following business quarter.
(3) In case of retirement of a member, a refund of already made payments is only possible upon written request that needs approval of the council.
(4) In case the payment is not done via direct debit to the associations' bank account, it can be done through money transfer to one of the following accounts:
a) bank account
b) Paypal
c) Bitcoin

§ 3 Organisation
§ 3.1 Board of Directors
The Board of Directors administrates their rights and obligations in the Board Regulations document.

§ 3.2 Council
(1) The council will be elected by the passive members' meeting for a period of 6 month. Reelection of councilors is possible. The officiating councilors at a time, remain seated until successors are elected even if their term ended.
(2) Public Council meetings have to take place at least once a month. The invitation for those meetings is carried out by announcement on maemo.org and if applicable by email. Council meetings called in accordance with these rules are accepted as able to make decisions if at least two thirds (2/3) of councilors are present or represented. In addition, the quorum is regarded as reached as long as no lack of a quorum is applied for.
(3) As required or if at least two councilors conjointly mandate a council meeting from chair, an extraordinary meeting can be called by the chair with announcing the agenda on maemo.org and through email to all councilors.
(4) Due notice of one week time shall be given, in case of urgency this can be passed.
(5) The council meeting is making decisions based on the bare majority of all valid votes cast unless stated differently in § 4.1 of these Association Rules. In the event of a tie the motion is rejected. Abstentions are not counted.
(6) Council's decisions can explicitly be made in writing, electronical or by telephone, have to be recorded and be published on maemo.org within one week.
(7) The initial election of the council is held by the Founding Meeting. The preliminary council has to hold regular elections according to the articles of incorporation and the association rules within 6 months.

§ 3.3 General Assembly
(1) The General Assembly takes place in the first quarter of each and every year.
(2) Annual accounts are submitted in writing or digital to the assembly, to formally approve the actions of the board of directors. The General Assembly can instruct an external auditor, who must not be member of a board's group, the board or employee of the association, to audit bookkeeping and annual account statements and report back to the General Assembly.

§ 3.4 Passive Members' Meeting
A passive member can not authorize other members to represent it.

§ 4 Election Rules
Elections for board and council, the General Assembly and every second Passive Members' Meeting shall be held simultanously if possible.

§ 4.1 Council Elections
(1) Nominations will be accepted 2 weeks before the election begins from any community member with a karma of 100 or above.
(2) Elections last for 1 week.
(3) Only community members who have had maemo.org accounts for over 3 months, and have karma of 10 or above, may vote.
(4) Each community member eligible to vote gets a single ballot.
(5) The 5 nominees voted for most, as counted by a single transferrable vote system are elected.
(6)  Nominees with a professional interest in Maemo, such as working for  Nokia - or any other company involved in Maemo-related software development - must declare their interest when advertising their nomination. Failure to do so may result in the Board, or the outgoing Council, declaring their nomination invalid and so bar them from standing in the current election.
(7) There is no limit to the number of times a council member can stand for re-election.
(8) The date of the next election will be set by the council chair, not more than 6 months after the previous election.
(9) The election date must be publicised at least 4 weeks in advance of the election.
(10) If fewer than 6 candidates stand for election, the 3 with the most votes are elected to the council.
(11) If there are fewer than 4 candidates when the nominations close, the election cannot be held. 
a) The nomination period will be extended by 4 weeks and the election postponed similarly.
b) If, after 4 weeks delay, there are still fewer than 4 candidates; the outgoing council will decide - in conjunction with the Board of Directors - about how to proceed. The preferred solution is to encourage more members of the maemo.org community to participate and re-run the election, but all options are open.
(12) Voting in such referenda will be open to anyone eligible to vote in the council elections.
a) The referendum options must be debated for a minimum of 1 month prior to the referendum.
b) Referendum voting will be open for the same length of time as the council elections.

Geschäftsordnung für den Vorstand des Maemo Community e. V.

§ 1 Geltungsbereich
Die Geschäftsordnung regelt den Ablauf der Vorstandsversammlungen des Maemo Community e. V. und ergänzt insoweit die jeweils gültige Satzung. Die Bestimmungen der Satzung haben jeweils Vorrang.

§ 2 Öffentlichkeit
Vorstandsversammlungen sind vereinsöffentlich. Der Vorstand ist berechtigt, Personen, die nicht Mitglieder des Maemo Community e. V. sind, als Gäste zur Vorstandsversammlung zuzulassen, sofern deren Anwesenheit erforderlich oder gewünscht ist. Über die Zulassung weiterer Gäste entscheidet die Vorstandsversammlung mit einfacher Mehrheit.

§ 3 Allgemeines
(1) Der Vorstand wird von der aktiven Mitgliederversammlung für die Dauer von einem Jahr gewählt. Die Wiederwahl der Vorstandsmitglieder ist möglich. Die jeweils amtierenden Vorstandsmitglieder bleiben nach Ablauf ihrer Amtszeit im Amt, bis Nachfolger gewählt sind.
(2) Der Vorstand wählt aus seiner Mitte einen Schriftführer und einen Kassenwart.

In dringenden Fällen kann auf die Ladungsfrist verzichtet werden. Vorstandssitzungen sind beschlussfähig wenn mehr als 50% der Vorstände teilnehmen.
(4) Der Vorstand fasst seine Beschlüsse mit einfacher Mehrheit der gültigen, abgegebenen Stimmen. Bei Stimmengleichheit gilt ein Antrag als abgelehnt. Enthaltungen zählen nicht mit.
(5) Beschlüsse des Vorstands können ausdrücklich schriftlich, elektronisch, per email oder fernmündlich gefasst werden, müssen aufgezeichnet oder protokolliert und innerhalb von einer Woche auf maemo.org veröffentlicht werden.
(6) Der Vorstand übt seine Tätigkeit ehrenamtlich aus.

§ 4 Einberufung
(1) Vorstandssitzungen finden mindestens zwei mal pro Jahr statt.
(2) Zusätzlich kann der Vorsitzende bei Bedarf oder wenn mindestens zwei Vorstandsmitglieder dies gemeinsam gegenüber dem ersten Vorsitzenden verlangen, eine außerordentliche Vorstandssitzung unter Angabe der Tagesordnung in geeigneter Weise einberufen.
(3) Die Sitzungen werden durch den ersten Vorsitzenden oder eines Vertreters unter Angabe der Tagesordnung schriftlich bzw. elektronisch einberufen.
(4) Der Einladung sollen die zur Beschlussfassung stehenden Anträge und – soweit erforderlich – die Wahlunterlagen beigefügt werden.
§ 5 Versammlungsleitung
(1) Der Vorsitzende, bei dessen Verhinderung sein Stellvertreter, leitet die Sitzung.
(2) Der Vorsitzende eröffnet die Sitzung und stellt die Ordnungsmäßigkeit der Einberufung (Form/Frist) und die Stimmberechtigung der Anwesenden fest.
(3) Im Falle der Beratung und Abstimmung eines den Versammlungsleiter selbst betreffenden Gegenstands wählt der Vorstand für die Dauer der Behandlung des betreffenden Gegenstands einen zeitweiligen Versammlungsleiter.
(4) Dem Versammlungsleiter stehen alle zur Aufrechterhaltung der Ordnung erforderlichen Befugnisse zu (Wort entziehen, Ausschluss von Teilnehmern, Unterbrechung der Versammlung, Auflösung der Versammlung). Er selbst kann jederzeit zum Verfahren das Wort ergreifen.

§ 6 Protokollführung
(1) Der Schriftführer erstellt ein Protokoll, aus dem Uhrzeit, Versammlungsort, Zahl der stimmberechtigt erschienenen Mitglieder, die Tagesordnung und die Gegenstände der Beschlussfassung in der Reihenfolge der Behandlung, die Beschlüsse im Wortlaut und die Abstimmungsergebnisse ersichtlich sind.
(2) Auf Verlangen müssen abgegebene Persönliche Erklärungen in das Protokoll aufgenommen oder diesem als besondere Anlage beigefügt werden.
(3) Die Protokolle sind binnen vier Wochen zu erstellen und den Mitgliedern unverzüglich zugänglich zu machen.

§ 7 Ausschüsse
(1) Der Vorstand kann zur Arbeitsteilung Ausschüsse bilden. 
(2) Die Ausschüsse haben keine Entscheidungsbefugnisse. Sie bereiten anstehende Entscheidungen vor und bringen sie als Beschlußvorlage in den Vorstand ein.
(3) Die Ausschüsse unterstützen und beraten den Vorstand bei seiner Tätigkeit.

§ 8 Schlussbestimmungen
(1) Sofern diese Geschäftsordnung eine Verfahrensfrage nicht eindeutig regelt, entscheidet der Versammlungsleiter den Gang der Handlung.
(2) Abweichungen von der Geschäftsordnung sind nur zulässig, wenn kein Teilnehmer widerspricht.

§ 9 Inkrafttreten
Diese Verordnung tritt mit der Annahme durch den Vorstand mit sofortiger Wirkung in Kraft.

Board of Directors' Internal Regulations of the Maemo Community e.V.

§ 1 Scope of application
The  Boards' Internal Regulations govern Maemo Community e.V.'s Board meeting procedures and complement the articles of incorporation. In case of doubt the articles of incorporation prevails.

§ 2 Public
Board meetings are public to the association. The Board is free to allow non-members of the Maemo Community e.V. to participate as guests if their presence is required or desired. Approval of other guests will be decided by a simple majority vote of the Board meeting.

§ 3 Preface
(1) The Board is elected by the General Assembly for the duration of one year. Re-election of Board members is possible. The officiating directors at a time, remain seated until successors are elected even if their term ended.
(2) The  Board of Directors internally votes upon a secretary and a treasurer.
The invitation for Board meetings has to be announced by writing or electronic on maemo.org and by email, giving due notice of at least one week in advance, in case of urgency this can be passed. A Board meeting is accepted as able to make decisions if more than 50% of the officiating directors are present.
(3) The  Board is making decisions based on the bare majority of all valid votes cast. In the event of a tie the motion is rejected. Abstentions are not counted. 
(4 )Board's decisions can explicitly be made in writing, electronical or by telephone, have to be recorded and be published on maemo.org within one week.
(5) The board is working in an honorary capacity.

§ 4 Call-Up
(1) Board meetings have to take place at least twice a year.
(2) Additionally, the Chairman may call a meeting as required or if at least two directors conjointly mandate a board meeting from the Chairman, an extraordinary meeting can be called by the chair with announcing the agenda in a suitable way.
(3) Meetings are called by the chair or its deputy with announcing the agenda in writing or digital.
(4) The invitation appendix shall hold motions for resolution and if necessary voting ballots.

§ 5 Meeting Presidency
(1) The Chairman, or in case of circumvention its deputy will preside the Board meeting.
(2) The Chairman opens the meeting and verifies compliance of its calling and determines the voting right of the attendees.
(3) In the case of debate and vote on a topic concerning the presiding chairman, a deputy is reappointed by the chairman for the time of debate and vote.
(4) The presiding chair has all authority to maintain orderliness (to order so. to stop speaking, debarment of attendees, interception of the meeting, suspend the meeting). The presiding chair can always rise to speak in matters of proceedings.

§ 6 Taking Minutes
(1) The secretary takes minutes, reflecting time, meeting place, count of attendees with voting rights, the agenda and subject to vote in order of appearance, resolutions have to be recorded by word and reflect their vote.
(2) On request, the record has to reflect personal statements or append those as extraordinary attachments.
(3) Meeting minutes have to be compiled within four weeks and made immediately available to members of the association.

§ 7 Committees 
(1) The Board may establish committees for division of labor. 
(2) The committees have no decision-making powers. Prepare upcoming decisions and bring them as draft decision to the Board. 
(3) The committees assist and advise the Executive Board on its activities.

§ 8 Final Provisions 
(1) Unless these Boards' Internal Regulations governs a procedural question not unique, the chairman of the meeting decides the course of action. 
(2) Exceptions to the Boards' Internal Regulations shall be permitted only if no participants objects.

§ 9 Entry into force 
This Regulation shall enter into force upon adoption by the Board with immediate effect.

How to hold a General Assembly

All statements are given fact by the organizations’ bylaws as well as german and EU laws as of today (2015-04-24). According to german law, the General Assembly is the highest jurisdiction in an e.V. (eingetragener Verein) which has to follow certain criteria in its’ procedures that also need to be reflected by the meeting minutes in order to be accepted by court. According to our Bylaws, member meetings are to be held at least once per year and Council is supposed to show responsible for all elections incl. Board.

Invitation and agenda

  • The invitation must be made in accordance with the provisions in the statutes of the Association, which demands a 4 week notice time. This includes a personal email to all regular members as well as a public announcement on maemo.org (by Council).
  • The invitation needs to list all pending decisions (e.g. Board election, amendment of Bylaws, termination of the association).
  • For amendments, the paragraphs in question must be publicized and the provisions to be modified must be referred to at least like a keyword. Only providing the topic "Amendment to the Bylaws" would not suffice.
  • Any regular member can submit agenda topics, deadline is 1 week prior to meeting.
  • Typical agenda:
1) Welcome by the Chairman of the Board (or any other Board or regular member)
2) Determination of proper convocation and quorum of the General Assembly (preferrably by meeting chair)
3) Acceptance of the annual report for the fiscal year and actions of the Executive (representive Directors)
4) Election of the Board (by single vote per candidate of either “yes”, “no” or “abstention”). Election period needs clarification (see below)
5) Whatever topic
6) Miscelanious (topics may be brought up during meeting, unless there’s a majority against it, no amandments to Bylaws)

Holding a meeting

  • As every other committee, the GA also has to determine its’ own chair and secretary. This can be done at the beginning of the meeting, by acclamation and with appointees’ consent. Any member can be meeting-chair or -secretary, just remember that secretary (only) has to sign the original german meeting minutes by hand and that chemist needs to send/carry it to his local court, because that’s where we’re registered (so having e.g. a US secretary doesn’t exactly help). It doesn’t hurt though if chemist, as Board chairman, also signs all documents as he handles them anyway.
  • Proper convocation and quorum (1/3) of the General Assembly has to be formally determined, only then GA is in full effect.
  • For all elections, separate chairmen can be appointed (by acclamation and with appointees’ consent). Since Council is supposed to hold all elections, councilors (chair) are to be preferred. Otherwise, the meeting chairman is in first responsibility and may or may not delegate this job to another member, unless there’s a majority against his directive.
  • For (Board-) elections, all (at least 3*) candidates are named. The election is direct, confirmative and results from simple majority. Each member has a single vote per candidate of either “yes”, “no” or “abstention”. If a member does not vote, that will be counted as “abstention” as soon as voting period (agenda topic) is declared closed by election/meeting chair.
  • as mentioned earlier, I wouldn’t know why we shouldn’t allow 2 more (even non-EU citizens or residents) board members, as long as we make sure those 3 registered can’t be overruled.

It is debatable if members should be able to place their vote throughout the meeting or only during election period. In order to make it a bit easier for people to at least place their vote even if they aren’t able to attend full meeting, I suggest to simply leave that topic open until the end of the meeting and/or put it in first order. Another option might be to close the meeting several hours later. Or to make use of the voting engine in an adapted mode that suits board election needs, which I already suggested to Board and which is considered doable.

Meeting minutes (to be filed to court)

...need to reflect:

  • Date, hour and place
  • Names of meeting-chair and secretary
  • Number of attending members (and/or those entitled to vote) and statement about reached quorum (minimum: 1/3)
  • Statement about proper convocation
  • Agenda (each topic) and ascertainment that all topics have been announced (or that it wasn’t nescessary) according to Bylaws/Association rules.
  • Provided applications (specifying the grounds expendable in special cases)
  • How the votes were placed (by acclamation, voting script…)
  • Voting results (“yes”, “no”, “abstention”)
  • Full name and address, date of birth and also a statement about acceptance by each elected director (on the original document only, personal data with the exception of real name, like address etc. must not be publicized on the internet!). Note: Any change in Board positions requires a seperate report to court which needs to be notary-signed by any 2 Directors!
  • Any change of Articles of Association. Note: A seperate report which needs to be notary-signed by any 2 Directors has to be filed to court as well as the new version of the Bylaws!
  • Any change of General Regulations aka Association Rules. This can be done without the need for additional reports to court.
  • Signature of the Secretary (and/or the persons provided for this purpose in the statutes).
